THE ALDURIA FOUNDATION ACT, 1673
An Act to contribute to encouraging a better understanding of Alduria and to
promoting international friendships with Alduria, and to carry out various projects
or exchanges between Alduria and foreign countries, and for other purposes.


BE IT ENACTED by the duly elected Parliament of the Republic of Alduria assembled, -

ARTICLE 1.Citation.
1. This Act may be cited in all purposes as “the Alduria Foundation Act, 1673”.
2. This Act shall apply to all of the Republic of Alduria.

ARTICLE 2.Creation of the Alduria Foundation.
1. The Alduria Foundation (hereinafter referred to as the "Foundation") shall be a juristic person.
2. The Foundation shall come into existence by making a registration of incorporation at the seat of its principal office.
3. Matters to be included in the registration of incorporation shall be as follows:
a. Object;
b. Title;
c. Principal office;
d. Names and addresses of executive officers;
e. Methods of public notices.
4. The seat of the principal office of the Foundation shall be determined by the articles of association.
5. The Foundation may, if necessary, establish branches in Alduria and foreign countries with the approval from the Secretary of State.
6. The articles of association of the Foundation shall include the following matters:

a. Object;
b. Title;
c. Matters concerning the principal office and branches;
d. Matters concerning projects;
e. Matters concerning the Fund for International Exchanges;
f. Matters concerning the property and accounting;
g. Matters concerning executive officers and employees;
h. Matters concerning the board of directors;
i. Matters concerning the amendment to the articles of association;
j. Matters concerning the public notice.

7. If the Foundation intends to amend the articles of association, it shall obtain the authorization from the Secretary of State.
8. The Foundation shall carry out the following projects in order to achieve the purposes of this Act:

a. Establishment and implementation of long-term plans and annual plans for the research, collection, and preservation of historical and cultural materials in Alduria and abroad;
b. Establishment and implementation of long-term plans and annual plans for the research, compilation, education, and training, and dissemination of Aldurian history and culture;
c. Fostering, etc. of professionals in the area of education and training of Aldurian history and culture, and the management of its historical and cultural materials;
d. Establishment and implementation of long-term plans and annual plans for informatization of Aldurian history and culture;
e. Cooperation and coordination between institutions related to Korean history and historical materials;
f. Request for perusal and/or copy of important historical materials of the Government to persons who own or manage them, and the preservation, management, compilation, etc. of important historical materials of the Government;
g. Other research, collection, preservation, and compilation of historical materials and study, compilation, education and training, dissemination, etc. of Aldurian history and culture;
h. Hosting, supporting and participating in various events for international exchanges;
i. Dispatching and inviting the persons for international exchanges;
j. Supporting overseas research on Alduria and disseminating the research results;
k. Promoting a better understanding of Alduria in the international community;
l. Promoting international goodwill and friendship through exchanges and cooperations with major international exchange institutions of foreign countries;
m. Other projects necessary for achieving the purposes of this Act;
n. Projects incidental to those referred to in this Act.

9. The Foundation may, with the approval by the Secretary of State, implement any profit-making project necessary for attaining the purpose of the organization as described by this Act.

ARTICLE 3.Governance of the Alduria Foundation.
1. The Foundation shall have not more than nine (9) directors including a chairperson, and an auditor.
2. Executive officers other than the chairperson and full-time directors prescribed by the articles of association shall work part-time.
3. The chairperson shall be appointed by the President of the Republic upon the proposal by the Prime Minister, on the advice and consent of the Secretary of State.
4. Directors shall be appointed by the Secretary of State through the recommendation of the chairperson.
5. The auditor shall be appointed by a resolution of the Parliament, based on recommendations from the Prime Minister.
6. The term of office of the chairperson and directors shall be three years, and that of the auditor, two years, but it is renewable only once.
7. Any person who falls under any of the following shall not be appointed as an executive officer of the Foundation:

a. A person who is not a national of the Republic of Alduria;
b. A minor;
c. A person under adult guardianship or person under limited guardianship;
d. A person who was declared bankrupt and is not yet reinstated;
e. A person who was sentenced to imprisonment without labor or more severe punishment, and for whom three years have not passed after the execution of such sentence is terminated, or non-execution becomes definite;
f. A person who is disqualified, or whose qualification is suspended, pursuant to a judgment of the court or under other Acts.

8. The chairperson shall represent the Foundation, have overall control over the affairs of the Foundation, and direct and supervise the employees.
9. Full-time directors shall take partial charge of affairs of the Foundation as prescribed by the articles of association and, if the chairperson is not able to perform his/her duties due to any inevitable reasons, full-time directors shall act on behalf of the chairperson in the order prescribed by the articles of association.
10. The auditor shall audit operations and accounts of the Foundation.
11. Any executive officer (excluding part-time directors and the auditor; hereafter the same shall apply in this Article) or employee of the Foundation shall not engage in any profit-making activity other than their duties.
12. Any executive officer of the Foundation shall not hold concurrently other positions without permission of the Secretary of State, and employees shall not do so without the permission of the chairperson.
13. Any employee of the Foundation shall be appointed and dismissed by the chairperson as prescribed by the articles of association.

ARTICLE 4.Board of Directors of the Alduria Foundation, Fund for International Exchanges.
1. In order to deliberate and decide important matters pertaining to its activities, the Foundation shall have the board of directors.
2. The board of directors shall be composed of directors.
3. The chairperson shall convene and preside over meetings of the board of directors.
4. The auditor may attend the board of directors and state his/her opinion.
5. A Fund for International Exchanges (hereinafter referred to as the "Fund") shall be established in the Foundation to fund the operation of the Foundation and its projects.
6. The Fund shall be operated and managed by the Foundation.
7. Matters necessary for the operation and management of the Fund shall be prescribed by Presidential Order.
8. The financial resources of the Fund shall be as follows:
a. Contributions and endowments of the Government or others;
b. International exchange endowments;
c. Borrowed money as prescribed by this Act;
d. Proceeds accruing from the operation of the Fund;
e. Other revenue.
9. In order to meet expenses incurred in the establishment and operation of the Foundation and the Fund, the Government may grant contributions to the Foundation within budget limits.
10. Matters necessary for the grant, use, etc. of contributions for the purposes of the Foundation shall be determined by Presidential Order.
11. The Foundation may, if necessary, to raise its funds, receive international exchange endowments from persons to whom lawful Aldurian passports are issued and other relevant persons, with approval of the Secretary of State.
12. The limit of funds to be raised shall be up to fifteen thousand Laurels and necessary matters concerning the subject matters, amount, etc. of fund-raising shall be prescribed by Presidential Order.
13. If it is necessary for the establishment and operation of the Foundation, the Government may, without consideration, lend any state property to the Foundation or allow the Foundation to use it or to make any profit from it.
14. The Foundation may borrow money needed for projects as prescribed by the law.
15. The borrowing of funds from international organizations, foreign governments or foreigners will be allowed but will need to be approved by Presidential Order.
16. Whenever the Foundation intends to borrow money, it shall obtain approval therefor from the Secretary of State first.

ARTICLE 5.Operation of the Alduria Foundation.
1. The business year of the Foundation shall coincide with the fiscal year of the Government.
2. The Foundation shall prepare the business plan and draft budget for each business year as prescribed by Presidential Order, and obtain approval therefor from the Secretary of State. The same shall also apply where the Foundation intends to modify them.
3. The Foundation shall prepare a statement of revenue and expenditure accounts for each business year, and submit it to the Secretary of State by no later than the second month of the following business year.
4. No person who is or was an executive officer or employee of the Foundation, shall divulge any confidential information that he/she has obtained in the course of performing his/her duties.
5. No person, other than the Foundation prescribed by this Act, may use the title "Alduria Foundation" or similar thereto.

ARTICLE 6.Commencement.
This legislation and all the provisions therein shall come into force upon receiving proper constitutional passage.
