Order 015: Business Licensing and Registration

Transitional Government of the Republic of Alduria
ORDER 015

Quote:Pursuant to my authority as President of the Republic of Alduria, and the provisions of the Constitution of Alduria, I hereby promulgate the following:

SECTION I. Business Licensing, Registration and Incorporation.
  1. There shall be no requirement for businesses to be licensed in Alduria at the state or local level. Department of Finance and Commerce may, however, license businesses and require business license fees as provided by law.
  2. Any person, human or legal, creating a new firm will have to obtain a business license with Department of Finance and Commerce. To obtain a business license, there shall be a fee of 25 Écus.
  3. An existing business with two or more owners and a market capitalization of at least 50 Écus may elect to incorporate.
  4. There are two legal routes for a business to incorporate:
    1. A business may incorporate by requesting and receiving a Charter from the Government of Alduria incorporating the business;
    2. A business may incorporate by requesting Department of Finance and Commerce approve their Articles of Incorporation.
  5. A business incorporated in Alduria shall exist in perpetuity or until a majority of its shareholders vote to dissolve the corporation.
  6. Any Articles of Incorporation submitted to Department of Finance and Commerce must following these requirements:
    1. That all shareholders may vote (in other words, there shall not be non-voting stock);
    2. That there shall be a Board of Directors selected by the Shareholders or appointed by some other mechanism specified in the Articles of Incorporation;
    3. That there shall be a CEO, President, or similar office, which shall act as the Chief Executive of the Corporation;
    4. That name of the Corporation shall include “Incorporated”; (or “Inc”), “Corporation”; (or “Corp”), or “Limited” (or “Ltd”) in its official name;
    5. Any Corporations already in existence prior to this Order shall hereby be grandfathered in from these requirements.
